These are LearnVo's standard terms for organisations. They apply alongside your order, licence or territory agreement. If anything in a signed agreement differs from these terms, the signed agreement wins.
1. Who these terms are between
LEARNVO LTD (company number 17538659, registered office Royal Quays Business Centre, Coble Dene, North Shields, NE29 6DE) and the organisation named in the order ("the centre"). The person accepting these terms confirms they can do so for the centre.
2. Your licence
- We give the centre a non-exclusive, non-transferable licence to let its staff and enrolled learners use the LearnVo platform and the resources covered by its licence (per product, per learner or full suite), for the period in the order.
- The centre may download modules as SCORM packages to use in its own learning environment, for its own learners, during the licence. Packages must be removed when the licence ends.
- The centre must not resell, sublicense, publish or share LearnVo resources outside its own staff and learners, or remove LearnVo branding unless a white-label agreement allows it.
- Territory and exclusivity rights are only granted by a separate signed agreement.
3. Accounts and access
- Staff and learners sign in with a Microsoft or Google account. The centre decides who gets access and at what level (admin, tutor or learner), and must remove people who leave.
- The centre is responsible for what its users do in the platform, and for keeping its own Microsoft or Google accounts secure.
- Resources the centre uploads must be its own or properly licensed, and must not be unlawful or harmful. The centre keeps ownership of them.
4. Fees
Fees are as set out in the order or quote. Annual licences are invoiced in advance and payable within 30 days. Per-learner places can be added during the year. Prices exclude VAT where VAT applies. If an invoice is unpaid 30 days after a reminder, we may suspend access until it's paid.
5. Data protection
For learners' and staff data in the platform, the centre is the controller and LearnVo is the processor. We'll process it only on the centre's documented instructions and in line with our privacy notice, keep it confidential and secure, use only the sub-processors listed there (telling the centre before adding new ones), help the centre respond to rights requests, tell the centre without undue delay about any personal data breach, and delete or return the data when the agreement ends. Our full data processing agreement, which meets Article 28 of the UK GDPR, is available on request and forms part of these terms.
6. AI tutor insights
AI insights summarise class results for tutors. Learners' names and email addresses are not sent to the AI provider. Insights are suggestions for teaching; they're not marks, predictions or decisions about learners, and tutors should use their own judgement. The centre can ask us to switch them off.
7. Service and support
We aim for the platform to be available 99.5% of the time each month, outside planned maintenance, which we'll try to schedule outside teaching hours. Support is by email at support@learnvo.co.uk, answered within one working day. We'll keep resources mapped to the qualification specifications they cover, and update them when a specification changes.
8. Intellectual property
LearnVo and its resources remain the property of LEARNVO LTD. Feedback the centre gives us may be used to improve LearnVo without obligation. Results data belongs to the centre.
9. Liability
Nothing limits liability for death or personal injury caused by negligence, fraud, or anything else that can't legally be limited. Otherwise neither party is liable for indirect losses or loss of profit, and each party's total liability in any year is limited to the fees paid or payable by the centre in that year.
10. Ending the agreement
Licences renew only if the centre places a new order. Either party may end the agreement if the other seriously breaks it and doesn't put it right within 30 days of notice. When it ends, access stops, the centre should remove any SCORM packages, and we'll delete the centre's data within 90 days unless asked to return it first.
11. General
We may update these terms with 30 days' notice; changes don't affect a licence period already paid for unless the law requires. Neither party is liable for delays caused by events beyond its reasonable control. These terms are governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction.
